Terms of Service

By accessing or using the Cella mobile application (the “App”), you agree to be bound by these Terms of Service (“Terms”). The App is operated by Cellar App Inc. (“Company,” “we,” “us,” or “our”), a company headquartered in San Francisco, CA 94105.

If you do not agree to these Terms, do not access or use the App.

You must be of legal drinking age in your jurisdiction to use this App. In the United States, this means you must be at least 21 years of age. By using the App, you represent and warrant that you meet this requirement.

To use certain features of the App, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Free Features: The free tier includes unlimited use of label scanning, storage for up to 12 bottles, basic bottle details, and cloud backup.

Cellar Pro: The premium subscription is available at $9.99/month or $49.99/year. The annual plan includes a 7-day free trial.

Subscriptions auto-renew unless canceled at least 24 hours before the end of the current billing period. Subscriptions are managed through the Apple App Store or Google Play Store.

You agree not to:

• Use the App for any illegal purpose
• Reverse engineer, decompile, or disassemble the App
• Use bots, scrapers, or automated tools to access the App
• Promote the sale or consumption of alcohol to minors
• Interfere with or disrupt the App or its servers

The App, including its design, code, features, and content, is owned by Cellar App Inc. and is protected by intellectual property laws. You retain ownership of your collection data, notes, and personal content.

You are solely responsible for any content you submit to the App, including tasting notes, ratings, and photos. You grant us a limited license to use this content solely for the purpose of providing and improving the App.

The App uses artificial intelligence to provide wine information, valuations, drinking windows, and food pairing suggestions. This information is provided for convenience and informational purposes only.

AI-generated information may not always be accurate. Wine valuations are estimates and should not be solely relied upon for investment decisions. You should verify important information independently.

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CELLAR APP INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE APP.

Our total liability shall not exceed the total amount you paid to us in the 12 months preceding the claim.

You agree to indemnify, defend, and hold harmless Cellar App Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising out of your use of the App or violation of these Terms.

We may terminate or suspend your account and access to the App at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in San Francisco, California.

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms in the App. Your continued use of the App after such changes constitutes acceptance of the revised Terms.
